1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Solin ("Solin," "we," "us," or "our") governing your access to and use of the Solin website at solinapp.com, iOS and Android mobile applications, desktop applications, APIs, and all related services (collectively, the "Services").
By creating an account, downloading the application, or accessing or using the Services in any manner, you represent that you have read, understood, and agree to be bound by these Terms in their entirety, including the limitation of liability and class action waiver in Sections 11 and 15. If you do not agree to these Terms, you must not access or use the Services.
If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" shall refer to both you and that organization jointly and severally.
2. Eligibility
2.1 Age Requirements
You must be at least 13 years of age to use the Services. If you are between 13 and 17 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and takes responsibility for your use of the Services. We reserve the right to immediately terminate accounts we reasonably believe belong to individuals under 13.
2.2 Legal Capacity
You represent and warrant that: (a) you have the full legal capacity to enter into these Terms; (b) you are not prohibited from using the Services under any applicable law; and (c) you are not located in a jurisdiction subject to Canadian government sanctions.
2.3 Geographic Availability
The Services are available globally, except where prohibited by applicable law. We make no representation that the Services are appropriate or available in all jurisdictions.
3. Accounts and Registration
3.1 Account Creation
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate, current, and complete. We reserve the right to reject or suspend accounts where registration information is false, inaccurate, or incomplete.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to immediately notify us at support@solinapp.com of any actual or suspected unauthorized use of your account or any other security breach. Solin will not be liable for any loss or damage arising from your failure to maintain the security of your account.
3.3 One Account Per User
You may not create more than one account for personal use without our prior written consent. You may not create accounts through unauthorized or automated means.
3.4 Account Deletion by You
You may delete your account at any time through account settings or by contacting support@solinapp.com. Deletion is subject to data retention provisions in our Privacy Policy. Subscription fees paid prior to deletion are non-refundable except as required by applicable law.
4. Subscriptions, Payment, and Consumer Rights
4.1 Free and Paid Tiers
The Services may be offered on a free basis with limited features, or on a paid subscription basis ("Pro Plan"). Features available under each tier are subject to change at our discretion, with reasonable notice where a change materially reduces features you are currently paying for.
4.2 Billing and Authorization
Paid subscriptions are billed in advance on a recurring basis (monthly or annual, as selected at purchase). By subscribing to a paid plan, you authorize Solin and our payment processor (Stripe) to charge your designated payment method on a recurring basis without additional authorization for each transaction, until you cancel.
4.3 Price Changes
We reserve the right to change subscription fees. We will provide at least 30 days' advance notice of any price change by email to the address associated with your account. If you do not cancel before the price change takes effect, you agree to pay the updated fee.
4.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@solinapp.com. Cancellation takes effect at the end of the current billing period, after which you will retain access to paid features until the period ends.
For iOS users: Subscriptions purchased through the Apple App Store are managed through your Apple ID. Cancellation must be made through Apple's subscription management settings. Solin cannot cancel or refund App Store subscriptions on your behalf.
For Android users: Subscriptions purchased through the Google Play Store are managed through your Google account. Cancellation must be made through Google Play's subscription management settings.
4.5 Refund Policy
Except as required by applicable law (including Quebec's Consumer Protection Act, RSQ c P-40.1, and applicable App Store policies), all subscription fees are non-refundable. We may provide refunds or credits at our sole discretion in exceptional circumstances. Requests should be submitted to support@solinapp.com within 14 days of the charge.
Quebec consumers: Nothing in these Terms limits your rights under the Consumer Protection Act (Quebec). To the extent of any conflict between these Terms and applicable consumer protection legislation, that legislation prevails.
4.6 Taxes
All fees are exclusive of applicable taxes, levies, and duties. You are responsible for all such amounts, excluding taxes based on Solin's net income.
4.7 Failed Payments
If a payment fails, we will make reasonable attempts to notify you. We reserve the right to suspend or downgrade your access to paid features until payment is resolved. We may retry failed payments up to three times within a 30-day period.
5. Acceptable Use
5.1 Permitted Use
You may use the Services solely for your personal, non-commercial productivity, task management, and planning purposes, subject to these Terms.
5.2 Prohibited Conduct
You agree not to, and will not permit or facilitate any third party to:
- (a) use the Services for any unlawful purpose or in violation of any applicable local, provincial, national, or international law or regulation, including CASL, PIPEDA, and Quebec Law 25;
- (b) violate, misappropriate, or infringe the intellectual property, privacy, or other rights of Solin or any third party;
- (c) upload, transmit, or distribute any content that is unlawful, defamatory, obscene, fraudulent, harmful, threatening, abusive, or objectionable;
- (d) input into the Services any Personal Information of third parties without their knowledge and consent, including through AI features;
- (e) attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services, through hacking, credential stuffing, password mining, or any other means;
- (f) interfere with or disrupt the integrity, performance, or availability of the Services or the data contained therein, including through denial-of-service attacks, malware, or spam;
- (g) use the Services to send unsolicited commercial electronic messages in violation of CASL;
- (h) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or trade secrets of the Services;
- (i) use automated scripts, bots, scrapers, crawlers, or other automated means to access or interact with the Services without our prior written consent;
- (j) circumvent any security, rate-limiting, authentication, or access-control mechanisms;
- (k) sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Services or your access thereto;
- (l) impersonate any person or entity or misrepresent your affiliation with any person or entity;
- (m) use the Services to collect, harvest, or compile information about other users without their consent;
- (n) engage in any conduct that restricts or inhibits any other user's use or enjoyment of the Services; or
- (o) use the Services in any manner that could expose Solin to liability, reputational harm, or legal risk.
5.3 Enforcement
We reserve the right, at our sole discretion, to investigate and take appropriate action against violations of this Section, including suspending or permanently terminating accounts, removing content, and reporting to law enforcement or regulatory authorities.
6. Intellectual Property
6.1 Solin's Intellectual Property
The Services, including all software, source code, algorithms, interfaces, visual design, text, graphics, logos, trademarks, and other content created by Solin ("Solin Content"), are owned by or licensed to Solin and protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Solin Content except the limited license in Section 6.3.
6.2 Your Content
You retain ownership of all tasks, notes, and other content you create, upload, or submit through the Services ("User Content"). By submitting User Content, you grant Solin a limited, non-exclusive, royalty-free, worldwide license to store, process, display, and transmit your User Content solely to the extent necessary to operate and provide the Services to you. This license terminates when you delete your content or account, subject to our data retention obligations and backup schedules disclosed in our Privacy Policy.
You represent and warrant that: (a) you own or have the right to submit all User Content; (b) your User Content does not violate any third-party rights or applicable law; and (c) your User Content does not contain malicious code or harmful content.
6.3 License to Use the Services
Subject to your compliance with these Terms, Solin grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to access and use the Services for your personal, non-commercial use.
6.4 Feedback
If you provide suggestions, ideas, enhancement requests, or feedback regarding the Services ("Feedback"), you grant Solin a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback without any obligation or compensation to you.
6.5 DMCA / Copyright Complaints
If you believe that content on the Services infringes your copyright, please send a written notice to support@solinapp.com containing: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.
7. AI-Powered Features
7.1 Nature of AI Outputs
The Services include features powered by artificial intelligence, including natural language processing, scheduling suggestions, task recommendations, and automated planning tools. AI-generated outputs are provided for informational and productivity purposes only. They are not professional advice of any kind, including but not limited to medical, legal, financial, psychological, therapeutic, or career advice.
7.2 No Guarantee of Accuracy
AI outputs may contain errors, inaccuracies, hallucinations, or omissions. You are solely responsible for evaluating, verifying, and acting upon any AI-generated suggestion or output. Solin expressly disclaims all responsibility for decisions made in reliance on AI-generated content. Do not rely on AI outputs for decisions of material consequence without independent verification.
7.3 Input Restrictions
You must not input into AI features: (a) sensitive personal information of third parties without their consent; (b) confidential business information you are not authorized to disclose; (c) government-classified or restricted information; (d) information subject to legal privilege; or (e) any information whose disclosure would violate applicable law. Solin is not liable for any consequences arising from your violation of this restriction.
8. Third-Party Services and Integrations
8.1 Third-Party Services
The Services may integrate with or link to third-party services, including Google Calendar, Apple Calendar, and authentication providers. Your use of such third-party services is governed by their respective terms of service and privacy policies. Solin is not responsible for, and expressly disclaims all liability arising from, your use of or reliance on third-party services.
8.2 App Store Terms
If you download the Services through the Apple App Store:
- These Terms are between you and Solin only, not Apple Inc.
- Apple has no obligation whatsoever to provide any maintenance or support services for the Services.
- In the event of any failure of the Services to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the application (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Services.
- Apple is not responsible for addressing any claims relating to the Services or your possession or use of the Services.
- Apple is a third-party beneficiary of these Terms and may enforce these Terms against you.
If you download the Services through the Google Play Store, these Terms are between you and Solin only, not Google LLC.
9. Disclaimers of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:
- warranties of merchantability, fitness for a particular purpose, title, or non-infringement;
- warranties that the Services will be uninterrupted, timely, error-free, secure, or free of viruses or other harmful components;
- warranties regarding the accuracy, reliability, or completeness of any content or AI-generated output;
- warranties that defects will be corrected; or
- warranties that the Services will meet your requirements.
Nothing in these Terms limits any warranty or other rights you may have under applicable mandatory consumer protection law, including the Consumer Protection Act (Quebec).
10. Limitation of Liability
To the maximum extent permitted by applicable law:
10.1 Exclusion of Consequential Damages. Solin, its officers, directors, employees, agents, licensors, and service providers shall not be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, system failure, or cost of substitute services, even if Solin has been advised of the possibility of such damages.
10.2 Aggregate Cap. In no event shall Solin's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of: (a) the total amount paid by you to Solin in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred Canadian dollars (CAD $100.00).
10.3 Basis of the Bargain. The limitations in this Section reflect an allocation of risk and form an essential element of the basis of the bargain between the parties. These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.
10.4 Exceptions. Nothing in these Terms limits liability that cannot be excluded or limited under mandatory applicable law, including liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded by law.
10.5 Quebec Consumers. Nothing in this Section limits your rights under the Consumer Protection Act (Quebec) or other mandatory consumer protection legislation. To the extent of any conflict, mandatory consumer protection law prevails.
11. Indemnification
You agree to defend, indemnify, and hold harmless Solin and its officers, directors, employees, agents, licensors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:
- (a) your use of or access to the Services;
- (b) your violation of these Terms;
- (c) your violation of any applicable law or regulation, including CASL, PIPEDA, or Quebec Law 25;
- (d) your violation of any third-party right, including intellectual property, privacy, or proprietary rights;
- (e) any User Content you submit, post, or transmit through the Services; or
- (f) any misrepresentation made by you.
Solin reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You will cooperate fully with Solin's defense of such claims.
12. Service Availability and Modifications
12.1 No Uptime Guarantee
We do not guarantee that the Services will be available at any particular time. The Services may be interrupted due to maintenance, updates, technical failures, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
12.2 Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. Where a modification materially reduces features you are currently paying for, we will provide reasonable notice and offer a pro-rated refund or credit for the remainder of your subscription period, at our discretion.
13. Term and Termination
13.1 Term
These Terms remain in effect for as long as you have an account or use the Services.
13.2 Termination by Solin
We reserve the right to suspend or terminate your account and access to the Services, with or without notice, for any reason, including but not limited to: (a) violation of these Terms or our policies; (b) conduct that is harmful to other users, Solin, or third parties; (c) extended inactivity (we will provide at least 30 days' notice before terminating inactive accounts); (d) legal requirements; or (e) discontinuation of the Services.
Where we terminate your account without cause, we will refund a pro-rated portion of any prepaid subscription fees.
13.3 Effect of Termination
Upon termination: (a) your license to use the Services immediately ceases; (b) we may delete your account and User Content, subject to legal retention obligations; (c) provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 7, 9, 10, 11, 14, 15, and 16.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
14.2 Jurisdiction
Subject to Section 14.3, you irrevocably consent to the exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal, for the resolution of any dispute arising out of or relating to these Terms or the Services.
14.3 Informal Resolution (Mandatory Pre-Condition)
Before initiating any legal proceeding (other than for injunctive or emergency relief), you agree to: (a) contact us at support@solinapp.com describing the dispute and relief sought; and (b) give us 60 days to respond and attempt to resolve the dispute in good faith. This informal resolution requirement is a mandatory pre-condition to litigation.
14.4 Quebec Consumers
For Quebec residents, if informal resolution fails, you may escalate your complaint to the Office de la protection du consommateur (OPC): www.opc.gouv.qc.ca. Nothing in these Terms limits your right to bring a claim before the Small Claims Division of the Court of Quebec for claims within its monetary jurisdiction.
14.5 Class Action Waiver
To the maximum extent permitted by applicable law, you agree to bring any claim against Solin in your individual capacity only, and not as a plaintiff, class member, or participant in any purported class, collective, consolidated, or representative proceeding. Nothing in this Section limits rights you may have under mandatory consumer protection legislation.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. For material changes, we will: (a) post the updated Terms at solinapp.com/terms with a new effective date; and (b) send email notice to the address associated with your account at least 14 days before changes take effect. For non-material changes, we may post the update without advance email notice.
Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not accept the changes, you must stop using the Services and delete your account before the effective date.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional policies incorporated by reference, constitute the entire agreement between you and Solin with respect to the Services and supersede all prior agreements, representations, warranties, and understandings.
16.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16.3 Waiver
No failure or delay by Solin in exercising any right or remedy shall constitute a waiver. No single waiver of any breach shall be deemed a waiver of any subsequent breach.
16.4 Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent. Solin may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets, without restriction.
16.5 Force Majeure
Solin shall not be liable for any delay or failure to perform obligations under these Terms caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, internet or infrastructure failures, or failures of third-party service providers.
16.6 No Third-Party Beneficiaries
Except as expressly provided (e.g., Apple in Section 8.2), these Terms do not create any third-party beneficiary rights.
16.7 Electronic Communications
You agree that we may provide notices and communications to you electronically, including by email or through the Services. Such electronic communications satisfy any legal requirement that communications be in writing.
16.8 Language
The parties have expressly requested that these Terms and all related documents be drafted in English. Les parties ont expressément demandé que les présentes modalités et tous les documents connexes soient rédigés en anglais.
